Terms and Conditions of Trade

1. Onlypro Hair Extensions will supply the Partner Salon with Hair Extensions and related products for the installation and maintenance of Hair Extensions as outlined in this agreement.

2. All orders for goods or services from the Partner Salon that are accepted by Onlypro Hair must be placed on the Onlypro Hair online store unless otherwise agreed upon by both parties.

3. Onlypro Hair Extensions or any products purchased from Onlypro Hair must not be sold under a different name, brand, packaging, or description other than what was received directly from Onlypro Hair.

4. Partner Salons and retailers are not permitted to purchase any products for resale unless specifically agreed upon by both parties through a separate agreement.

5. Onlypro Hair Extensions reserves the right to change prices with at least 30 days' notice. Purchasers will be notified in writing of any price changes or increases.

6. Partner Salons or stylists are not permitted to hold sales or offer discounts without the written consent of Onlypro Hair.

7. Delivery of goods will be handled by an outsourced courier company unless otherwise agreed upon by both parties. Dispatch and delivery will occur only after payment has been received. Orders placed and paid for before 12:00 PM on a business day will be dispatched on the same business day. Orders placed after 12:00 PM will be dispatched on the next business day unless otherwise agreed. It is the purchaser's responsibility to ensure that orders are placed and delivered on time for their clients. Onlypro Hair is not responsible for late delivery of packages.

8. Payment terms, unless otherwise agreed upon through a separate signed agreement, require full payment upon order. Onlypro Hair will not release or dispatch any orders until payment has been received. No exceptions will be made.

9. Onlypro Hair reserves the right to withhold stock, orders, or services until all outstanding accounts have been paid in full.

10. Onlypro Hair reserves the right to cancel this agreement if there is evidence that the terms and conditions have been breached or if the Partner Salon or any of its affiliates have or might damage the integrity of the brand.

11. The Partner Salon/stylist and Onlypro Hair are the parties to this agreement. Neither Onlypro Hair nor any of its employees will deal directly with guests or customers under any circumstances.

12. Installation and use of Onlypro Hair Extensions should only be performed by a professionally qualified hairstylist or extension technician. To the maximum extent permitted by law, Onlypro Hair is not responsible or liable for any injury, damage, or loss arising from improper installation or application by the Partner Salon/stylist or any third party. The Partner Salon/stylist shall indemnify Onlypro Hair against any claims, demands, losses, liabilities, damages, costs, and expenses arising out of or in connection with improper installation or application.

13. The Partner Salon/stylist acknowledges and agrees that all intellectual property rights in goods and services supplied by Onlypro Hair are owned by Onlypro Hair. The Partner Salon/stylist acquires no intellectual property rights in any goods or services provided by Onlypro Hair unless a separate deed of assignment is executed by Onlypro Hair regarding the intellectual property rights.

14. The Partner Salon/stylist agrees that dealings with Onlypro Hair are strictly confidential and shall not be disclosed to any other person.
